A limited liability partnership is a partnership in which some or all partners have limited liability. It therefore exhibits elements of partnerships and corporations. In an LLP one partner is not responsible or liable for another partner''s misconduct or negligence. This is an important difference from that of a limited partnership. In an LLP, some partners have a form of limited liability similar to that of the shareholders of a corporation. In some countries, an LLP must also have at least one "general partner" with unlimited liability. Unlike corporate shareholders, the partners have the right to manage the business directly. As opposed to that, corporate shareholders have to elect a board of directors under the laws of various state charters. The board organizes itself and hires corporate officers who then have as "corporate" individuals the legal responsibility to manage the corporation in the corporation''s best interest. Newcastle upon Tyne is a city and metropolitan borough of Tyne and Wear, in North East England. Situated on the north bank of the River Tyne, the city developed in the area that was the location of the Roman settlement called Pons Aelius, though it owes its name to the castle built in 1080, by Robert II, Duke of Normandy, the eldest son of William the Conqueror. The city grew as an important centre for the wool trade and it later became a major coal mining area. The port developed in the 16th century and, along with the shipyards lower down the river, was amongst the world''s largest shipbuilding and ship-repairing centres. These industries have since experienced severe decline and closure, and the city today is largely a business and cultural centre, with a particular reputation for nightlife.

Among its main icons are Newcastle Brown Ale, a leading brand of beer, Newcastle United F.C., a Premier League team, and the Tyne Bridge. It has hosted the world''s most popular half marathon, the Great North Run, since it began in 1981.

Tyne and Wear is a metropolitan county in North East England around the mouths of the Rivers Tyne and Wear. It came into existence as a metropolitan county in 1974 after the passage of the Local Government Act 1972. It consists of the five metropolitan boroughs of South Tyneside, North Tyneside, City of Newcastle upon Tyne, Gateshead and the City of Sunderland.

North Tyneside and Newcastle upon Tyne had previously existed within the historic county of Northumberland, whereas South Tyneside, Gateshead and Sunderland were all previously within the borders of County Durham, with the River Tyne forming the border of the two counties.

Tyne and Wear is bounded on the east by the North Sea, and as a Ceremonial county, shares borders with Northumberland to the north and County Durham to the south.

Tyne and Wear County Council was abolished in 1986, and so its districts are now effectively unitary authorities. However, the metropolitan county continues to exist in law and as a geographic frame of reference.
