A limited liability partnership is a partnership in which some or all partners have limited liability. It therefore exhibits elements of partnerships and corporations. In an LLP one partner is not responsible or liable for another partner''s misconduct or negligence. This is an important difference from that of a limited partnership. In an LLP, some partners have a form of limited liability similar to that of the shareholders of a corporation. Newcastle upon Tyne is a city and metropolitan borough of Tyne and Wear, in North East England. Tyne and Wear is a metropolitan county in North East England around the mouths of the Rivers Tyne and Wear. It came into existence as a metropolitan county in 1974 after the passage of the Local Government Act 1972. It consists of the five metropolitan boroughs of South Tyneside, North Tyneside, City of Newcastle upon Tyne, Gateshead and the City of Sunderland.
